AI Workspace Data Policy

This Data Upload Policy (this “Policy”) governs your use of the AI Workspace feature (the “Feature”), which is part of the services (the “Services”) provided by CZI (“CZI” or “we”) through its AI and model platform, currently located at https://virtualcellmodels.cziscience.com/ and as may be updated from time to time. The Feature allows you to upload certain datasets (“Uploaded Datasets”) for your private use within the Services. This Policy supplements and is incorporated into our Terms of Use. If there is a conflict between this Policy and the Terms of Use, the terms of this Policy will apply to your use of the Feature.

1. Scope and Purpose

The Services are intended for research use only and are not designed for clinical, diagnostic, or therapeutic purposes. Uploaded Data will remain private by default — viewable by and accessible only to you.

2. Data Requirements

You agree that all Uploaded Data must be de-identified. You may not submit any data that contains personally identifiable information (PII), protected health information (PHI), or other data subject to legal or regulatory obligations unless expressly permitted in writing by CZI.

By uploading data via the Feature, you represent and warrant that:

• The Uploaded Data was collected, processed, stored, and shared in accordance with all applicable laws and regulations;
• There is no PII or PHI in any of the Uploaded Data;
• You have obtained all necessary consents, permissions, and authorizations needed in order to share the Uploaded Data with CZI and to use it with our Services; and
• Your submission and use of the Uploaded Data does not infringe any third-party rights.

3. Data Use and Access

We will use Uploaded Data to provide the Services you initiate (e.g., analysis or visualization). We may use certain automated systems to process your Uploaded Data to support the operation, maintenance, and functionality of the Services (e.g., indexing, formatting, or integrity checks), but such processing is limited to what is necessary to operate, maintain and support the Services.

We may also perform safety and security reviews (automated and/or manual) of Uploaded Data to detect, prevent, or mitigate harmful, abusive, or illegal content, security vulnerabilities, or any other material or activity that violates our Terms or policies. These reviews are conducted to ensure the safety, integrity, and lawful operation of the Services.

Except as described in this Policy and in the Terms of Use, we will not access, use, or share your Uploaded Data for any other purpose without your express permission. You retain all intellectual property rights to your Uploaded Data, including any results or outputs generated through your use of the Feature. However, you grant us a limited, non-exclusive, royalty-free, sublicensable license to host, process, and display your Uploaded Data as needed to provide the Services and to maintain the security and integrity of the Services, including the safety and security reviews as described in this Policy and in the Terms of Use.

4. Feature Availability

We may modify, suspend, or discontinue the Feature at any time without notice. While we aim to maintain continuous availability, we do not guarantee uninterrupted or error-free access or use.

5. Data Retention and Deletion

Subject to Section 6, Uploaded Data will be retained for a period of up to six (6) months, unless you delete it earlier via your account settings or CZI is otherwise required to retain it to comply with legal or regulatory requirements. Where required by law, we will provide notice prior to deletion.

6. Compliance

You must comply with this Policy, our Terms of Use, Acceptable Use Policy, and all applicable laws. Failure to comply may result in suspension or termination of your access to the Feature or the Services. We reserve the right to take appropriate action, including but not limited to removal of your Uploaded Data or your account.
